These Terms of Service ("Terms") are a legal agreement between you and RingScore Systems Inc. ("RingScore," "we," "us," or "our") governing your access to and use of RingScore's websites, applications, digital scoring systems, administrative portals, judge and supervisor interfaces, public event pages, Audience Mode, display and broadcast features, analytics, APIs and exports made available to you, and related products and services collectively referred to as the "Services."
Please read these Terms carefully.
By creating an account, accepting an invitation, accessing an authorized RingScore interface, clicking or selecting an acceptance control where presented, or otherwise accessing or using the Services after being presented with these Terms, you agree to be bound by them.
If you do not agree to these Terms, you must not access or use the Services.
1. About RingScore
RingScore Systems Inc. is a Canadian technology company based in Ontario.
RingScore provides digital infrastructure for combat-sports scoring, officiating, event administration, competition records, governing-body oversight, public event experiences, analytics, and related activities.
Depending on the Services being used, RingScore may support participants including:
- athletes;
- judges and officials;
- supervisors and head judges;
- clubs and gyms;
- event organizers;
- promoters;
- coaches and matchmakers;
- provincial or territorial sport organizations;
- national governing bodies;
- event staff;
- broadcasters;
- spectators; and
- other authorized users.
Different users receive different permissions based on their role, organization, event assignment, governing authority, and applicable agreements.
2. Relationship Between These Terms and Other RingScore Agreements
These Terms govern general access to and use of the Services.
Certain organizations also enter into separate agreements with RingScore, which may include:
- a Platform Services Agreement;
- a SaaS or software licence agreement;
- a Service Level Agreement ("SLA");
- a Data Protection and Processing Schedule;
- an Order Form;
- a Hardware Order;
- an Event or Implementation Order;
- a partnership agreement; or
- another written agreement.
If you access RingScore on behalf of an organization that has a separate written agreement with RingScore, these Terms continue to apply to your individual use of the Services.
If there is a direct conflict between these Terms and a separately executed agreement governing the same subject matter, the separately executed agreement controls to the extent of that conflict.
Commercial terms such as pricing, licensed usage, support entitlements, hardware purchases, service credits, implementation obligations, and subscription terms are generally governed by the applicable customer agreement rather than these Terms.
3. Privacy
RingScore's Privacy Policy explains how we collect, use, disclose, retain, and protect personal information.
By using the Services, you acknowledge that personal information may be processed as described in the Privacy Policy and in any additional data-processing terms applicable to the organization through which you use RingScore.
Users who receive access to personal information through RingScore must comply with Section 14 of these Terms and any applicable privacy, confidentiality, organizational, or governing-body requirements.
4. Eligibility and Authority to Use RingScore
You may use RingScore only if:
- you are legally permitted to use the Services;
- you comply with these Terms;
- you have any authorization required for the role or information you access; and
- your use is not prohibited by applicable law or an applicable governing-body requirement.
If you are using RingScore on behalf of an organization, you represent that you are authorized to act in the capacity assigned to you.
Access to a RingScore role does not itself create sporting, regulatory, medical, employment, or governing authority that you do not otherwise possess.
For example, receiving access to a Supervisor Portal does not make a person an authorized supervisor unless the relevant event or governing organization has properly appointed that person.
RingScore may require verification or organizational approval before granting certain administrative, provincial, national, supervisor, or other restricted permissions.
5. Minors and Youth Participants
RingScore may be used in connection with competitions involving youth athletes.
Athlete competition records are generally created or maintained by authorized clubs, organizers, provincial or territorial organizations, national governing bodies, or event administrators rather than by youth athletes independently creating competition records.
If you are not legally able to enter into a binding agreement in your jurisdiction, you may use consumer-facing or participant-facing portions of the Services only with any permission or supervision required by applicable law.
Restricted administrative and officiating functions may be limited to authorized persons appointed by the relevant organization or event.
Organizations entering information concerning minors are responsible for obtaining any consent, permission, authorization, or other lawful basis required for that information and activity.
6. Accounts, Credentials, and Access Mechanisms
RingScore may provide access using:
- user accounts;
- usernames and passwords;
- authentication providers;
- event access codes;
- secure links;
- judge credentials;
- event-specific credentials;
- device assignments;
- QR codes; or
- other access mechanisms.
You are responsible for protecting access mechanisms assigned to you.
You must not:
- knowingly provide your credentials to an unauthorized person;
- use another person's credentials without authorization;
- impersonate another official or user;
- falsely represent your role or organizational authority;
- permit another person to submit official actions under your identity;
- attempt to obtain permissions you have not been granted; or
- bypass role, organization, event, or security restrictions.
If you believe an account, credential, event code, link, or other access method has been compromised, you must notify the appropriate event administrator or RingScore as soon as reasonably possible.
RingScore may reset, disable, rotate, or revoke credentials when reasonably necessary for security or event integrity.
7. Organizational Roles and Permissions
RingScore uses role-based and organization-based permissions.
Depending on the applicable implementation, roles may include:
- RingScore Super Admin;
- national administrator;
- provincial or territorial administrator;
- club or gym administrator;
- organizer;
- supervisor or head judge;
- judge or official;
- evaluator or observer;
- event staff; and
- public or spectator users.
A user's permissions are limited to the authority assigned to that user.
You must not use information or functionality made available through one role for a purpose outside that role.
You must not attempt to circumvent RingScore's organizational hierarchy or permission controls.
An administrator's technical ability to view or interact with information does not automatically mean the administrator is authorized to use that information for any purpose.
8. Separation of Event Administration and Official Officiating
RingScore is designed to preserve appropriate separation between event administration and official sporting decisions.
Organizers and administrators
Organizers may perform functions such as:
- creating events;
- managing fight cards;
- entering athlete information;
- assigning authorized officials;
- configuring public event features;
- managing event presentation;
- configuring displays;
- managing sponsors; and
- performing other authorized administrative functions.
Unless separately authorized as an official, an organizer must not use administrative access to improperly alter, manipulate, or certify official scoring outcomes.
Judges
Judges are responsible for scores and scoring actions submitted under their assigned identity or access mechanism.
A judge must not:
- submit another judge's score;
- allow another person to score under the judge's identity;
- intentionally submit a score that does not represent the judge's own authorized assessment;
- modify another judge's scorecard;
- access restricted information for the purpose of influencing their scoring; or
- coordinate scoring in a manner prohibited by applicable competition rules.
Supervisors and Head Judges
Authorized supervisors may perform functions associated with official oversight, which may include:
- monitoring judge submissions;
- reviewing scorecards;
- managing bout status;
- recording deductions;
- recording stoppages;
- recording injuries;
- requesting a tiebreak procedure;
- managing authorized corrections; and
- certifying or approving official outcomes.
Supervisor access must be used only within the authority granted by the applicable event or governing organization.
9. RingScore Does Not Replace the Sporting Authority
RingScore provides technological infrastructure that records, processes, calculates, displays, transmits, and stores competition information.
RingScore Systems Inc. is not, solely by providing the Services, the governing body, commission, sanctioning authority, referee, judge, supervisor, physician, or other sporting authority responsible for an event.
A result calculated or displayed by RingScore may require review, certification, approval, correction, or other action by the designated supervisor, governing organization, commission, or other authorized official.
Unless RingScore has expressly agreed otherwise in writing, responsibility for determining:
- which competition rules apply;
- who is authorized to officiate;
- whether a bout may proceed;
- whether an athlete is eligible;
- whether a medical condition permits participation;
- whether a point deduction is warranted;
- whether a stoppage is appropriate;
- whether a score correction is authorized;
- whether a result is official; and
- whether regulatory or disciplinary action should occur
remains with the applicable authorized person or organization.
RingScore may automate calculations based on information entered into the platform, but automated calculations do not transfer sporting or regulatory authority to RingScore.
10. Scoring and Automated Decision Calculations
RingScore may automatically:
- validate scoring entries;
- calculate round or scorecard totals;
- process point deductions;
- combine judge scorecards;
- calculate a potential decision;
- process configured tiebreak procedures;
- categorize decisions or stoppages; and
- generate other competition outputs.
These functions operate based on:
- information entered by authorized users;
- the configuration of the relevant event;
- the rules and logic implemented in the platform; and
- other applicable system settings.
Users responsible for an event must verify that appropriate event settings, participant information, panel configuration, and officiating assignments are correct.
Where an authorized supervisor or governing body is responsible for reviewing and certifying a result, the system-generated result does not eliminate that responsibility.
If a discrepancy is discovered, users must follow the authorized correction procedure rather than attempting to circumvent the platform or alter records through unauthorized means.
11. Official Records and Corrections
Scores, decisions, assignments, deductions, stoppages, approvals, corrections, and other competition activity may form part of an official or historical event record.
Once information becomes part of such a record, it may be subject to additional restrictions.
Users may not alter official records unless:
- their RingScore role permits the action;
- they have the applicable real-world authority to perform the action; and
- the modification is consistent with the governing rules or authorized correction procedure.
RingScore may preserve:
- the original information;
- the corrected information;
- the identity or role responsible for a correction;
- the reason for a correction;
- relevant timestamps; and
- other information necessary to maintain record integrity.
Closing an account or ending an organizational relationship does not automatically erase competition records created while that account or relationship was active.
12. Injury and Health Information
Certain authorized users may record injury information through RingScore.
Injury functionality is intended to support authorized event recordkeeping and data collection. It is not a medical diagnostic tool.
RingScore does not provide medical advice and does not determine whether an athlete is medically fit to compete.
Any medical judgment must be made by an appropriately authorized physician, ringside doctor, medical professional, governing body, or other responsible person.
Users entering injury information must:
- have authority to record the information;
- enter only information reasonably relevant to the event or authorized purpose;
- avoid unnecessary sensitive information;
- take reasonable care to ensure the record is accurate; and
- not use injury information for an unauthorized purpose.
Users must not disclose or exploit restricted injury information obtained through RingScore.
13. Public Event Information
RingScore may provide public event pages, result pages, scoreboards, arena displays, broadcast overlays, or other public-facing functionality.
Information intentionally published through these features may include:
- athlete names;
- club or gym affiliations;
- event participation;
- weight class or competition category;
- bout matchups;
- bout status;
- competition results; and
- other information approved for public presentation.
Depending on event configuration, certain scoring information may also be displayed publicly.
Users responsible for publishing an event must have appropriate authority to publish the information they enable.
RingScore's standard public-facing features are not intended to publicly expose restricted information such as:
- internal judge analytics;
- restricted judge profiles;
- private organizational information;
- injury records;
- confidential administrative notes; or
- information otherwise designated as restricted.
RingScore may remove, restrict, correct, or modify public presentation where reasonably necessary to address privacy, accuracy, security, legal, or competition-integrity concerns.
14. Confidential and Restricted Information
Your RingScore role may give you access to information that is not public.
Examples may include:
- individual judge scorecards before publication;
- nonpublic round scores;
- judge identities associated with restricted records;
- judge analytics;
- injury information;
- athlete administrative information;
- organization contact information;
- club-directory information;
- event-management information;
- unpublished results;
- governing-body reports;
- security information;
- internal notes; and
- other restricted information.
You may access and use restricted information only for the legitimate purpose for which your access was granted.
You must not:
- disclose restricted information without authority;
- post screenshots of restricted dashboards without permission;
- distribute confidential exports;
- use restricted information for personal advantage;
- use restricted information to improperly influence an athlete, coach, official, or event;
- use nonpublic scoring information to influence another judge;
- use restricted information for unauthorized betting, wagering, or gambling purposes;
- sell or commercially exploit restricted information without authorization; or
- attempt to identify individuals from properly de-identified information.
Your obligation to protect restricted information may continue after your account, role, event assignment, or organizational relationship ends.
15. Governing-Body and Organizational Data Access
RingScore may provide different levels of organizational access according to governing relationships, permissions, and applicable agreements.
For example:
- a club may receive access to information within its authorized scope;
- a provincial or territorial organization may receive access to information associated with its jurisdiction;
- an authorized national governing body may receive read-only access across information associated with affiliated provincial or territorial organizations onboarded to RingScore; and
- RingScore Super Admin personnel may receive system-wide access where required for platform administration, support, security, data integrity, and other authorized purposes.
Receiving such access does not grant unrestricted ownership of personal information or permission to use it for unrelated purposes.
Organizations and their users must use information accessed through RingScore consistently with:
- their governing authority;
- applicable privacy obligations;
- contractual restrictions;
- the purpose for which access was granted; and
- these Terms.
16. Audience Mode and Unofficial Scoring
RingScore may offer Audience Mode or similar spectator-engagement features.
Audience scoring is unofficial.
Scores, rankings, predictions, polls, crowd decisions, leaderboards, or similar spectator outputs must not be represented as official judging results unless expressly identified as an official result published through an authorized RingScore workflow.
RingScore may allow organizers to:
- enable or disable Audience Mode;
- pause participation;
- control public displays;
- moderate participants;
- regenerate access codes; and
- block or remove participants who interfere with the experience.
Spectator users must not attempt to disrupt an event, impersonate an official, manipulate a leaderboard, automate submissions, create artificial participation, or interfere with other users.
17. Public Displays, Streaming, and Broadcast Features
RingScore may provide URLs, browser-source overlays, jumbotron displays, scoreboards, event boards, or other output intended for public or broadcast use.
Users of these features are responsible for:
- using the correct event source;
- configuring their production systems appropriately;
- determining which information is authorized for publication;
- ensuring they have rights to any branding, sponsor material, graphics, logos, photographs, or other content they provide; and
- complying with applicable broadcasting, sponsorship, event, and governing-body requirements.
A public-display or broadcast feature may depend on third-party internet connectivity, devices, streaming software, venue infrastructure, or other systems outside RingScore's control.
18. User and Organization Content
Users may upload, submit, create, or provide content through RingScore, including:
- event names;
- athlete information;
- fight cards;
- posters;
- organization logos;
- sponsor logos;
- photographs;
- announcements;
- event branding;
- notes;
- competition records; and
- other material ("User Content").
You or the applicable organization retain any rights you already hold in User Content.
By submitting User Content to RingScore, you grant RingScore a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, format, transmit, display, and otherwise use that content as reasonably necessary to:
- provide the Services;
- operate the relevant event or organization;
- create authorized public pages or displays;
- generate reports and exports;
- provide technical support;
- maintain records;
- comply with applicable agreements; and
- perform other functions you or the applicable organization have enabled.
This licence does not give RingScore ownership of your underlying User Content.
You represent that you have sufficient rights or authority to provide the User Content and permit RingScore to use it for the applicable purpose.
19. Intellectual Property
Except for User Content and third-party materials, the Services and all associated intellectual property are owned by RingScore Systems Inc. or its licensors.
This includes, where applicable:
- RingScore software;
- source code;
- object code;
- platform architecture;
- database structures;
- user interfaces;
- visual designs;
- documentation;
- proprietary workflows;
- APIs;
- analytics systems;
- reports and report templates;
- branding;
- trademarks;
- logos;
- graphics; and
- other RingScore technology and materials.
These Terms do not transfer ownership of RingScore intellectual property to you.
Subject to these Terms and any applicable customer agreement, RingScore grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for the authorized purpose associated with your role.
Nothing in these Terms claims ownership over the underlying rules of boxing, combat sports, competition rules, or other rules owned or established by third-party governing organizations.
20. Restrictions on Use
Except where expressly permitted by RingScore or applicable law, you must not:
- copy or reproduce substantial portions of the Services;
- resell access to the Services;
- sublicense your access;
- reverse engineer or attempt to derive nonpublic source code;
- bypass technical restrictions;
- circumvent authentication or permission controls;
- access information outside your authorized organization or role;
- scrape or systematically harvest restricted platform data;
- use automated tools to access the Services in a manner that creates unreasonable load;
- probe or test vulnerabilities without written authorization;
- interfere with service operation;
- intercept communications;
- introduce malicious code;
- disrupt event systems;
- manipulate competition records;
- falsify scoring activity;
- impersonate another user;
- interfere with official scoring;
- misuse private analytics;
- attempt to defeat logging or security controls; or
- use the Services to violate applicable law or the rights of another person.
21. Acceptable Use
You must not use RingScore to:
- engage in fraud;
- harass or threaten another person;
- discriminate unlawfully;
- distribute malware;
- conduct phishing or credential theft;
- perform denial-of-service activity;
- gain unauthorized system access;
- distribute unlawfully obtained personal information;
- infringe intellectual property rights;
- submit knowingly false organizational information;
- manipulate or compromise competition integrity;
- facilitate bribery, collusion, match fixing, score manipulation, or other sporting corruption;
- misuse confidential competition information for gambling or wagering;
- interfere with another person's ability to use RingScore; or
- engage in any activity that could reasonably harm RingScore, its users, an event, or the integrity of a competition.
RingScore may investigate suspected violations and take reasonable measures to protect users, events, organizations, and the platform.
22. Data Exports, APIs, and Analytics
Where RingScore makes exports, reports, APIs, or analytics available, your use of them remains subject to:
- your role;
- organizational authorization;
- the applicable customer agreement;
- privacy restrictions;
- confidentiality obligations; and
- these Terms.
Access to information through an export or API does not expand your right to use that information.
You must not use exported or API-accessible information to circumvent RingScore permissions or to create an unauthorized competing database containing restricted RingScore records.
RingScore may apply technical limits, access controls, rate limits, or other safeguards to APIs and exports.
23. Judge and Event Analytics
RingScore may generate analytics based on event, scorecard, athlete, judge, safety, or other competition information.
Analytics may include measurements relating to:
- scoring agreement;
- round agreement;
- dissent;
- score distributions;
- judging patterns;
- corner trends;
- position trends;
- submission timing;
- decisions;
- stoppages;
- injuries;
- deductions;
- participation; and
- other competition metrics.
Analytics are analytical tools and must be interpreted in context.
Unless RingScore expressly agrees otherwise, RingScore does not independently determine whether an official should:
- be licensed;
- be suspended;
- be assigned to an event;
- be disciplined;
- receive training;
- lose certification; or
- be subject to another regulatory action.
Those decisions remain with the governing organization or other authority responsible for the official.
Users must not publicly publish restricted individual judge analytics unless they have authority to do so.
24. Feedback
If you voluntarily provide RingScore with ideas, suggestions, recommendations, feature requests, or other feedback concerning the Services ("Feedback"), you grant RingScore the right to use that Feedback without restriction or compensation to you.
This allows RingScore to improve its products without creating an obligation to obtain additional permission each time a suggestion contributes to a feature.
This section does not transfer ownership of confidential information or User Content unrelated to the Feedback itself.
25. Beta, Pilot, Experimental, and Preview Features
RingScore may make certain features available as:
- beta;
- pilot;
- preview;
- experimental;
- early access; or
- otherwise pre-release functionality.
Such features may:
- be incomplete;
- change without notice;
- contain errors;
- have limited availability;
- be subject to additional conditions; or
- be discontinued.
RingScore will identify such functionality where reasonably appropriate.
You should not rely on beta or experimental features for mission-critical activity unless RingScore has specifically approved that use.
A roadmap, demonstration, proposal, discussion, mockup, beta release, or planned feature does not create a contractual commitment to deliver that feature unless the commitment is expressly included in a written agreement signed by RingScore.
26. Changes to the Services
RingScore is an evolving platform.
We may modify the Services to:
- add functionality;
- improve reliability;
- address security issues;
- comply with laws or governing requirements;
- change third-party providers;
- improve workflows;
- correct errors;
- remove obsolete functionality; or
- otherwise develop the platform.
RingScore will not treat a material contractual commitment contained in a separately executed customer agreement as cancelled merely because this section allows general product changes.
Material changes affecting a customer's purchased service are subject to any rights provided in the applicable customer agreement.
27. Service Availability and Support
RingScore aims to provide reliable Services, particularly during live competition.
However, availability may be affected by circumstances such as:
- internet connectivity;
- venue networks;
- local hardware;
- power;
- browsers;
- user devices;
- third-party infrastructure;
- maintenance;
- security incidents;
- configuration errors;
- user actions; or
- circumstances outside RingScore's reasonable control.
Unless a separate SLA or written agreement applies, these Terms do not create a guaranteed response time, resolution time, or uptime commitment.
Organizations purchasing defined support or event-day service levels should refer to their applicable SLA, Order Form, or customer agreement.
28. Event Readiness and User Responsibility
Organizations and authorized event personnel are responsible for reasonable event preparation within their control.
Depending on the event, this may include:
- confirming fight-card information;
- verifying athlete names;
- confirming judge assignments;
- confirming supervisor access;
- verifying scoring configuration;
- confirming the applicable competition format;
- testing assigned devices;
- maintaining charged devices;
- following RingScore setup instructions;
- maintaining suitable venue infrastructure where required; and
- participating in agreed event-readiness procedures.
RingScore may provide testing, training, documentation, or readiness support according to the applicable customer agreement.
Failure to follow reasonable setup or readiness requirements can increase event-day risk.
29. Hardware
RingScore may sell, rent, configure, manage, or authorize hardware used with the Services.
Hardware ownership does not create permanent or unrestricted rights to RingScore software.
Software access remains subject to the applicable licence and customer agreement.
Terms relating to:
- hardware ownership;
- payment;
- shipping;
- warranty;
- risk of loss;
- damage;
- theft;
- rental;
- return;
- replacement; and
- authorized configuration
may be governed by a separate Hardware Order, rental agreement, Event Order, or other written terms.
Where RingScore designates particular hardware or configurations for official event use, users must not knowingly modify or circumvent those configurations in a manner that compromises event integrity or security.
30. Third-Party Services
RingScore depends on or may integrate with third-party services.
These may include infrastructure, authentication, hosting, communications, streaming, registration, or other providers.
Your use of certain third-party services may also be governed by that provider's terms and privacy policies.
RingScore is not responsible for independent third-party products or services that are outside RingScore's control.
RingScore may change providers or integrations as the platform evolves.
31. Suspension and Restriction of Access
RingScore may temporarily restrict, suspend, or revoke access where reasonably necessary to:
- address a security threat;
- protect an active event;
- investigate unauthorized access;
- prevent data manipulation;
- protect personal information;
- prevent misuse of official credentials;
- respond to a violation of these Terms;
- comply with law;
- comply with an authorized governing-body request;
- enforce an applicable customer agreement; or
- protect RingScore, its users, or the integrity of the Services.
Where circumstances reasonably permit, RingScore may provide notice or an opportunity to resolve the issue.
Immediate action may be taken where necessary to protect an event, user, system, or competition.
Suspension of an account does not require RingScore to erase historical event or competition records associated with that account.
32. Termination by You
You may stop using the Services at any time.
Where account controls permit account closure, you may request closure through the applicable interface or by contacting RingScore.
Ending your personal use of RingScore does not automatically:
- terminate an organization's agreement with RingScore;
- remove public information that remains lawfully part of an event record;
- erase an official competition result;
- erase a judge scorecard;
- erase an authorized historical record; or
- terminate obligations that are intended to survive termination.
Any commercial termination rights are governed by the applicable customer agreement.
33. Termination by RingScore
RingScore may terminate access where:
- you materially violate these Terms;
- your use is unlawful;
- you compromise security or competition integrity;
- you repeatedly misuse restricted information;
- you impersonate another user or official;
- continued access creates a material risk to RingScore or its users;
- an organization properly removes your authorization;
- the customer agreement supporting your access ends; or
- RingScore is otherwise legally entitled to terminate the relationship.
Where appropriate, RingScore may preserve records associated with terminated accounts.
34. No Medical, Legal, Regulatory, or Sporting Advice
The Services provide technology, data processing, event-management functionality, and analytical tools.
Unless expressly stated otherwise, RingScore does not provide:
- medical advice;
- legal advice;
- regulatory advice;
- insurance advice;
- athlete eligibility determinations;
- sanctioning decisions;
- disciplinary decisions; or
- professional judging evaluations that replace a governing body's judgment.
Users and organizations remain responsible for obtaining appropriate professional or governing-body advice where required.
35. Disclaimers
RingScore is designed to improve the reliability and efficiency of combat-sports event operations, but technology cannot eliminate every source of error or interruption.
To the maximum extent permitted by applicable law, and except for obligations expressly stated in a separate written agreement:
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
RingScore does not warrant that:
- the Services will be uninterrupted at all times;
- every defect will be corrected immediately;
- every third-party service will remain available;
- every piece of information entered by users will be accurate;
- every event will be configured correctly by the applicable users; or
- the Services will satisfy requirements that were not communicated to and accepted by RingScore.
RingScore is responsible for the obligations it expressly undertakes.
RingScore is not responsible for incorrect results or records caused solely by inaccurate information entered by unauthorized or authorized third parties where RingScore processes that information as provided, subject to any obligation RingScore has to correct a known system defect or authorized record.
Nothing in these Terms excludes warranties, guarantees, conditions, or rights that cannot legally be excluded.
36. Limitation of Liability
To the maximum extent permitted by applicable law, RingScore Systems Inc. and its directors, officers, employees, contractors, and agents will not be liable under these Terms for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, revenue, goodwill, opportunity, or data, arising from your use of or inability to use the Services.
This exclusion does not apply where liability cannot legally be excluded or limited.
For an individual user who does not have a separate commercial agreement with RingScore, RingScore's aggregate liability arising out of or relating to these Terms will not exceed the greater of:
- amounts that the individual directly paid to RingScore for the Services during the twelve months preceding the event giving rise to the claim, if any; and
- CAD $100.
If your organization has entered into a Platform Services Agreement, SaaS Agreement, Order Form, or another commercial agreement with RingScore, any liability cap contained in that agreement governs claims subject to that agreement instead of the individual-user cap above.
Nothing in this section limits liability to the extent such limitation is prohibited by applicable law.
37. Responsibility for Your Conduct
You are responsible for your own unlawful, fraudulent, deliberately harmful, or unauthorized use of the Services.
To the extent permitted by applicable law, you may be responsible for losses reasonably arising from:
- intentional manipulation of official competition records;
- unauthorized access to another person's account or information;
- unlawful disclosure of restricted information;
- infringement caused by content you were not authorized to provide;
- malicious interference with the Services; or
- other deliberate violations of these Terms.
This section does not make an individual responsible for matters outside their control.
38. Intellectual Property Complaints
If you believe material made available through RingScore infringes intellectual property rights, please contact RingScore through the contact information published on our website.
A notice should identify:
- the protected work or right;
- the allegedly infringing material;
- where the material appears;
- your contact information; and
- enough information for RingScore to review the request.
RingScore may remove or restrict content where reasonably appropriate while investigating a claim.
39. Changes to These Terms
RingScore may update these Terms as the Services, laws, business model, or operating environment changes.
The effective date and version number at the beginning of the Terms identify the current version.
For material changes, RingScore may provide notice through:
- the Services;
- an account notification;
- email;
- the RingScore website; or
- another reasonable method.
RingScore may require users to affirmatively accept materially revised Terms before continuing to use certain Services.
Changes do not retroactively rewrite separately executed customer agreements.
If you do not agree with updated Terms, you must stop using the affected Services.
40. Electronic Communications and Acceptance
You agree that RingScore may provide agreements, notices, disclosures, records, and other communications electronically where permitted by law.
Electronic acceptance may include:
- selecting an "I Agree" control;
- completing an account acceptance flow;
- accepting an organizational invitation;
- accepting event access terms; or
- another electronic method that reasonably records acceptance.
RingScore may maintain records relating to:
- the version of the Terms accepted;
- the date and time of acceptance;
- the account or user involved;
- the organization associated with the acceptance; and
- other information reasonably necessary to document the agreement.
41. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles.
This choice of law does not deprive an individual of mandatory rights that apply to them under legislation that cannot lawfully be waived by contract.
42. Dispute Resolution
Before beginning formal legal proceedings relating to these Terms, you and RingScore agree to make reasonable efforts to resolve the dispute informally.
A party should provide enough information for the other party to understand:
- the nature of the dispute;
- the relevant events;
- the requested resolution; and
- any information reasonably necessary to investigate it.
Unless urgent relief is required, the parties should allow at least 30 days for good-faith resolution efforts before commencing a proceeding.
If a dispute cannot be resolved informally, the courts of Ontario will have jurisdiction, subject to any mandatory law that provides otherwise.
These Terms do not require mandatory private arbitration.
Nothing in this section prevents either party from seeking urgent injunctive or other equitable relief where reasonably necessary to protect:
- confidential information;
- intellectual property;
- system security;
- personal information;
- an active event; or
- competition integrity.
A separate written agreement between RingScore and an organization may establish a different dispute-resolution process for disputes governed by that agreement.
43. No Waiver
If RingScore does not immediately enforce a provision of these Terms, that does not mean RingScore has permanently waived the right to enforce it.
A waiver is effective only to the extent expressly given.
44. Severability
If a provision of these Terms is found invalid, illegal, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary where legally possible.
The remaining provisions will continue in effect.
45. Assignment
You may not transfer your account or assign your rights under these Terms to another person without RingScore's permission.
RingScore may assign these Terms in connection with:
- a corporate reorganization;
- financing;
- merger;
- acquisition;
- sale of substantially all relevant assets; or
- another legitimate business transaction,
subject to applicable law.
46. No Agency or Employment Relationship
These Terms do not create a partnership, joint venture, agency, employment, fiduciary, or franchise relationship between you and RingScore.
A judge, supervisor, organizer, coach, athlete, or governing-body representative using RingScore does not become an employee or agent of RingScore merely through use of the Services.
Similarly, RingScore does not become an agent of a governing body merely by providing technology to that organization unless expressly agreed in writing.
47. Force Majeure
RingScore will not be responsible for a failure or delay caused by circumstances beyond its reasonable control to the extent permitted by applicable law and any applicable customer agreement.
Such circumstances may include:
- widespread internet outages;
- failures of third-party infrastructure;
- utility failures;
- natural disasters;
- severe weather;
- labour disruptions;
- governmental actions;
- war or civil disturbance;
- cyberattacks despite reasonable safeguards;
- venue infrastructure failures; or
- other events beyond RingScore's reasonable control.
This section does not excuse obligations that can reasonably continue despite the event or obligations that applicable law does not permit RingScore to exclude.
48. Survival
Provisions that by their nature should continue after access ends will survive termination.
These may include provisions relating to:
- intellectual property;
- official and historical records;
- confidentiality;
- restricted information;
- liability;
- disputes;
- data-use restrictions;
- ownership;
- and obligations arising from conduct occurring before termination.
49. Entire Agreement for General Platform Use
These Terms, together with the Privacy Policy and any additional terms expressly incorporated into them, constitute the agreement governing your general use of RingScore.
For customers and organizations with separately executed agreements, those agreements form part of the broader contractual relationship and may supplement or override these Terms as expressly provided.
Marketing materials, demonstrations, sales discussions, roadmaps, proposals, or statements concerning future functionality do not amend these Terms or create a contractual commitment unless incorporated into a written agreement authorized by RingScore.

Plain-Language Summary
These Terms are legally binding, so the full Terms above control if there is any difference between this summary and the legal text.
In simple terms:
- use only the RingScore access and permissions you are authorized to use;
- don't share official credentials or impersonate another user;
- judges must submit their own scores;
- organizers must not improperly interfere with official scoring;
- authorized supervisors and governing bodies remain responsible for certifying official sporting outcomes;
- RingScore calculates and processes competition information but does not replace the governing authority;
- Audience Mode and spectator scoring are unofficial;
- don't disclose private scorecards, injury information, judge analytics, or other restricted information without authorization;
- don't use nonpublic RingScore information to influence judges, manipulate competition, or for unauthorized betting;
- official competition records may remain after an account is closed;
- users must have appropriate rights to content, athlete information, logos, sponsor material, and other information they upload;
- RingScore owns its platform and software;
- beta and roadmap features are not contractual commitments unless a written agreement expressly says otherwise;
- service guarantees and event-day support commitments belong in a separate SLA or customer agreement;
- commercial customers may have additional agreements that take precedence over these Terms for the matters they cover; and
- Ontario law governs these Terms, subject to mandatory legal rights that cannot be waived.
